The Transformation Year — Terms and Conditions

These Terms and Conditions (“Terms”) govern participation in The Transformation Year (“Program”), a 12-month classical guitar coaching program offered by Mathews Music Inc., a Wyoming corporation (“Mathews Music,” “we,” “us,” or “our”).
By enrolling in the Program, you (“Participant” or “you”) acknowledge that you have read, understood, and agree to these Terms.
1. Program Overview
The Transformation Year is a premium 12-month classical guitar coaching program combining structured curriculum, individual coaching, video and text feedback, and oversight by Allen Mathews.
Your specific Program Fee, payment arrangement, start date, and any other individual enrollment details are those shown on your enrollment or checkout page, invoice, or other written enrollment confirmation. Those details are incorporated into these Terms.
2. Eligibility and Enrollment
The Program is designed for serious adult classical guitarists who are prepared to practice consistently, participate in regular coaching, communicate with their coach, and work systematically over an extended period.
Enrollment is limited. Applicants may be required to complete an application or consultation before acceptance.
Acceptance into the Program is at the discretion of Mathews Music. We may decline an application where permitted by law.
Enrollment is personal to you and may not be transferred or assigned to another person.
3. Program Fee and Payment
Program Fee
Your total Program Fee and selected payment arrangement will be disclosed before enrollment.
Payment may be made in full or, when offered, through an installment payment plan.
Installment Payment Plans
If you select an installment payment plan, you are committing to payment of the entire Program Fee.
The installment plan is a method of paying the Program Fee over time. It is not a month-to-month subscription and does not create a monthly cancellation option.
If you discontinue participation before the end of the 12-month Program, any unpaid installments remain due according to the agreed payment schedule, except where otherwise required by applicable law.
If a scheduled payment fails, we may attempt to process the payment again and may contact you to obtain updated payment information.
If an account remains past due, we may suspend coaching, feedback, curriculum access, or other Program services until the account is brought current. Suspension for nonpayment does not extend the 12-month Program term or eliminate outstanding payment obligations.
4. Refund Policy
Except where otherwise required by applicable law, all Program sales are final and Program Fees are non-refundable.
This includes, without limitation, discontinuation because of:
Changes in personal circumstances
Inability to complete the Program
Dissatisfaction with coaching or curriculum
Personal technical difficulties
Medical or family circumstances
Relocation
Schedule changes
Changes in the amount of time available for practice or participation
If you choose to stop participating, you may do so at any time, but discontinuing participation does not entitle you to a refund or cancel any remaining installment payments.
If Mathews Music permanently discontinues the Program and is unable to provide a reasonably comparable alternative, we will provide an appropriate prorated refund or credit for services we are unable to deliver.
5. Program Term and Delivery
Duration
The Program runs for 12 consecutive months beginning on your individual Program start date.
The Program does not pause or automatically extend because of vacations, illness, travel, missed practice, scheduling conflicts, or other personal absences.
Individual Coaching
The Program includes 46 individual one-on-one video coaching sessions during the 12-month Program term with an assigned coach.
Sessions are generally scheduled weekly, with breaks throughout the year for holidays, coach availability, and other planned interruptions. The 46 sessions constitute the coaching-session commitment for the Program and are not intended to represent one session during every calendar week.
Coaching schedules are arranged between you and your assigned coach and are subject to reasonable availability.
Feedback and Support
The Program includes ongoing video and text feedback during the 12-month Program term.
References to “unlimited” feedback mean that there is no predetermined numerical limit on reasonable feedback requests made in the normal course of participating in the Program.
Feedback is subject to reasonable-use expectations, coach availability, holidays, illness, and normal response times. “Unlimited” feedback does not mean immediate, continuous, or on-demand access to a coach and does not include unusually excessive submissions that would materially interfere with normal Program operations.
Allen Mathews' Role
Allen Mathews oversees the Program's curriculum, methodology, and coaching standards and may participate directly in coaching, assessment, feedback, or other Program activities.
Unless expressly stated otherwise in your individual enrollment agreement, Allen Mathews is not necessarily your assigned coach and does not personally conduct every coaching session or review every submission.
Coach Changes
Mathews Music may substitute or reassign coaches when reasonably necessary because of availability, illness, staffing changes, scheduling needs, or other circumstances.
A coach substitution does not constitute cancellation of the Program or create a right to a refund, provided that Mathews Music continues to provide substantially comparable coaching services.
6. Curriculum and Program Materials
The Program includes access to designated Woodshed curriculum and other materials selected for your participation.
Your specific curriculum path may vary based on your ability, progress, goals, and coach's assessment.
Mathews Music may modify, replace, reorganize, add to, or remove curriculum and Program materials when we reasonably believe doing so will improve or maintain the Program.
Unless otherwise stated in writing, access to Program-specific coaching, feedback, tracking systems, and materials ends at the conclusion of your 12-month Program term.
Any separate Woodshed membership or curriculum access that continues after the Program is governed by the terms applicable to that membership or access.
7. Participant Responsibilities
Your progress depends substantially on your own participation.
You are responsible for:
Attending scheduled coaching sessions
Practicing consistently
Communicating with your coach
Completing appropriate assignments and assessments
Submitting recordings or other materials when useful
Maintaining the equipment and internet access necessary to participate
Treating coaches, staff, and other participants respectfully
Participation in the Program does not guarantee any particular amount or speed of progress.
8. Scheduling and Missed Sessions
You must provide at least 24 hours' notice if you need to cancel or reschedule a coaching session.
When sufficient notice is provided, we will make reasonable efforts to reschedule the session within the 12-month Program term.
Sessions missed without sufficient notice may be forfeited and counted toward the 46 included coaching sessions.
Unused sessions cannot be accumulated or carried beyond the end of the 12-month Program term.
If your coach must cancel a scheduled session, that session will not count toward the 46 included sessions, and Mathews Music will make reasonable efforts to reschedule it or provide an appropriate substitute.
Repeated missed sessions or failure to participate does not extend the Program term or reduce your payment obligation.
9. Technical Requirements
You are responsible for maintaining the equipment and services reasonably necessary to participate, including:
A reliable internet connection
A device capable of participating in video coaching
Suitable audio/video recording capability for feedback submissions
Access to Google Sheets and other designated Program platforms
Mathews Music is not responsible for sessions, submissions, or other Program activities disrupted by technical problems with your equipment, internet connection, software, or third-party services outside our reasonable control.
10. Intellectual Property
All curriculum, videos, exercises, worksheets, teaching materials, systems, written materials, and other Program content are owned by or licensed to Mathews Music or the applicable rights holder and are protected by applicable intellectual-property laws.
Your enrollment grants you a limited, personal, non-transferable right to use Program materials for your own educational purposes.
You may not, without prior written permission:
Share, copy, distribute, publish, or resell Program materials
Provide another person with your Program credentials or access
Record coaching sessions without permission
Republish Program videos or instructional materials
Use Program materials to create or operate a competing commercial product, course, or service
11. Participant Recordings and Content
Videos, audio recordings, messages, documents, and other materials you submit may be viewed and used by Mathews Music coaches and staff as reasonably necessary to provide the Program.
Your participation does not automatically grant Mathews Music permission to publicly use your name, likeness, identifiable performance videos, testimonial, or other identifiable personal content for advertising or marketing.
We will obtain separate permission before using identifiable participant content for public promotional purposes.
We may use aggregated or genuinely anonymized information for internal training, Program development, analysis, and improvement, provided it does not reasonably identify you.
12. Program Changes
Mathews Music may make reasonable changes to the Program during your participation, including changes to:
Curriculum
Materials
Coaching assignments
Technology platforms
Scheduling procedures
Program administration
We will make reasonable efforts to maintain the overall nature, quality, and continuity of the Program.
Material changes to these Terms will generally apply prospectively. The version of these Terms in effect when you enroll will govern your enrollment unless a change is required by law or you expressly agree to updated terms.
13. Termination
Termination by Participant
You may discontinue participation at any time.
Except where otherwise required by applicable law, discontinuation does not create a right to a refund or cancel any remaining installment payment obligation.
Termination by Mathews Music
Mathews Music may suspend or terminate your participation for material breach of these Terms, including:
Abusive, threatening, harassing, or seriously inappropriate behavior toward coaches, staff, or participants
Repeated failure to attend scheduled sessions without notice
Failure to make required payments
Unauthorized sharing or distribution of Program materials
Sharing account credentials or Program access
Conduct that materially disrupts the coaching relationship or our ability to provide the Program
When reasonably appropriate, we may provide an opportunity to correct a violation before termination.
Except where required by applicable law, termination resulting from your material breach does not entitle you to a refund or eliminate outstanding payment obligations.
If Mathews Music terminates your participation for reasons unrelated to your breach or misconduct and does not provide a reasonably comparable alternative, we will provide an appropriate prorated refund or credit for the portion of the Program we do not provide.
14. No Guarantees
Mathews Music provides coaching, education, feedback, and curriculum but cannot guarantee any particular outcome.
We do not guarantee:
Achievement of a particular playing level
Completion of particular curriculum levels
Mastery of particular repertoire
A particular rate of improvement
Performance outcomes
Professional or career advancement
Results vary based on many factors, including previous experience, practice consistency, practice quality, physical ability, available time, and individual circumstances.
15. Physical Activity and Health
Playing classical guitar involves repetitive physical activity.
You are responsible for determining whether you are physically able to participate and for practicing within your own limits.
You should stop or modify activities that cause pain or appear to cause injury and seek appropriate professional medical advice when necessary.
Coaches may offer suggestions concerning playing position, movement, practice habits, tension, or technique, but Program coaching is educational and does not constitute medical diagnosis, treatment, physical therapy, or other healthcare services.
To the fullest extent permitted by applicable law, Mathews Music is not responsible for injuries resulting from your participation, practice decisions, failure to follow appropriate precautions, or circumstances outside our reasonable control.
16. Limitation of Liability
To the fullest extent permitted by applicable law, Mathews Music will not be liable for indirect, incidental, special, consequential, or punitive damages arising from participation in the Program.
To the fullest extent permitted by applicable law, Mathews Music's aggregate liability arising out of or relating to the Program will not exceed the amount you actually paid to Mathews Music for the Program.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
17. Privacy and Data
In administering the Program, Mathews Music may collect and process information including:
Contact and application information
Practice tracking information
Progress notes and assessments
Video, audio, and text submissions
Coaching communications
Session recordings when recording has been disclosed or permitted
Payment and transaction information
We use this information to administer and improve the Program, communicate with participants, process payments, maintain business records, and meet legal obligations.
We may use third-party service providers as reasonably necessary to operate the Program, including payment processors, communication services, video platforms, hosting providers, and other technology providers.
We do not sell participant personal information.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise.
Before initiating formal proceedings, you and Mathews Music agree to make a good-faith effort to resolve any dispute through direct communication.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Program that cannot be resolved informally will be resolved through binding arbitration, rather than in court, except where applicable law provides otherwise or permits a claim to be brought in small claims court.
The arbitration will take place in Wyoming or remotely, as reasonably appropriate and permitted under the applicable arbitration rules.
19. Electronic Acceptance
You agree that electronic acceptance of these Terms—including acceptance through an online checkout page, application, enrollment form, electronic signature, or similar electronic process—has the same effect as a handwritten signature to the extent permitted by applicable law.
You agree to receive Program-related communications electronically at the email address or other contact information you provide.
20. Force Majeure
Mathews Music will not be responsible for delays or interruptions caused by circumstances reasonably beyond our control, including natural disasters, widespread internet or telecommunications outages, government actions, war, civil disturbances, epidemics, or similar events.
When such circumstances materially affect Program delivery, we will make reasonable efforts to resume, reschedule, substitute, or otherwise provide affected services.
21. Miscellaneous
Entire Agreement
These Terms, together with your enrollment or checkout information and any other written terms expressly incorporated into them, constitute the agreement between you and Mathews Music regarding the Program and supersede prior representations concerning the same subject matter.
Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
No Waiver
A failure by Mathews Music to enforce any provision of these Terms on one occasion does not waive our right to enforce that provision in the future.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our written consent.
Mathews Music may assign these Terms in connection with a merger, acquisition, sale, reorganization, or transfer of the Program or substantially all relevant business assets, subject to applicable law.

Acknowledgment
By enrolling in The Transformation Year, you acknowledge that you have read and understood these Terms and agree to be bound by them.
If you select an installment payment plan, you specifically acknowledge that you are purchasing the full 12-month Program and that the installment plan is a payment arrangement, not a month-to-month subscription or cancellation option.
